IMPORTANT — READ CAREFULLY
This End User License Agreement ("EULA") is a legal agreement between you ("End User") and Mathra AI ("Licensor") for the use of the Mathra AI mobile software application ("Application"). By tapping "Agree" or by downloading, installing, or using the Application, you agree to be bound by the terms of this EULA.
1. Acknowledgement
You and Mathra AI acknowledge that this EULA is concluded between you and Mathra AI only, and not with Apple Inc. or Google LLC. Mathra AI, not Apple or Google, is solely responsible for the Application and its content.
2. Scope of Licence
Mathra AI grants you a limited, non-exclusive, non-transferable, revocable licence to use the Application on any Apple-branded device or Android device that you own or control, as permitted by the Usage Rules set forth in the applicable App Store Terms of Service. This licence does not allow you to use the Application on any device that you do not own or control, and you may not distribute or make the Application available over a network where it could be used by multiple devices at the same time.
3. Maintenance and Support
Mathra AI is solely responsible for providing any maintenance and support services with respect to the Application, as specified in this EULA or as required under applicable law. Apple and Google have no obligation whatsoever to furnish any maintenance and support services with respect to the Application.
4. Warranty
Mathra AI is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the Application to conform to any applicable warranty:
- You may notify Apple or Google, and Apple or Google will refund the purchase price for the Application (if any) in accordance with their respective policies
- To the maximum extent permitted by applicable law, Apple and Google will have no other warranty obligation whatsoever with respect to the Application
- Any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Mathra AI's sole responsibility
5. Product Claims
Mathra AI, not Apple or Google, is responsible for addressing any claims by you or any third party relating to the Application or your possession and/or use of the Application, including without limitation: (i) product liability claims; (ii) any claim that the Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation.
6. Intellectual Property Rights
In the event of any third-party claim that the Application or your possession and use of the Application infringes that third party's intellectual property rights, Mathra AI will be solely responsible for the investigation, defence, settlement, and discharge of any such intellectual property infringement claim. Apple and Google are not responsible for the investigation, defence, settlement, or discharge of any such intellectual property infringement claim.
7. Legal Compliance
You represent and warrant that: (i) you are not located in a country that is subject to a U.S. or applicable government embargo or has been designated as a "terrorist supporting" country; and (ii) you are not listed on any applicable government list of prohibited or restricted parties.
8. Third-Party Beneficiary
Mathra AI and you acknowledge and agree that Apple Inc. and its subsidiaries are third-party beneficiaries of this EULA. Upon your acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary thereof.
9. Prohibited Uses
You may not:
- Copy, modify, or create derivative works of the Application
- Reverse engineer, disassemble, or decompile the Application
- Remove, alter, or obscure any proprietary notices
- Use the Application for any unlawful purpose
- Transfer, sublicense, or assign this licence to any other person
10. Termination
This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must stop all use of the Application and delete all copies.
